01Agreement to these terms
These Terms of Use (“Terms”) are an agreement between you and ExpeditUsPro, LLC, a Kentucky limited liability company (“ExpeditUsPro,” “we,” “us”). They govern your use of our website at expeditus.app (the “Site”) and of the ExpeditUsPro platform (the “Platform”; together, the “Service”).
By using the Service you agree to these Terms. If you use the Service on behalf of an organization, you confirm that you are authorized to accept these Terms for it. If you do not agree, do not use the Service.
Organizations that subscribe to the Platform (“Customers”) do so under a separate written agreement with us (a “Customer Agreement”). If a Customer Agreement conflicts with these Terms, the Customer Agreement controls. Where a Customer's data includes protected health information, the Business Associate Agreement between that Customer and us (the “BAA”) controls over both.
Our Privacy Policy explains how we handle personal information.
02The service
ExpeditUsPro is a HIPAA-aware case-management platform for workers' compensation. It helps Customers coordinate claims from injury through return to work: AI agents monitor claims and prepare recommended actions, and authorized people review and approve them.
The public demonstrations on the Site use synthetic, fictional data only. Do not enter real personal or health information into any demonstration.
03Accounts and credentials
- Platform accounts are created by invitation from a Customer or from us. You must be at least 18 years old and authorized by the Customer to use its account.
- You sign in with one-time codes sent to your email or phone. Keep your email account, phone and sign-in codes secure, and do not share them or your account with anyone.
- Give us accurate information and keep it up to date.
- You are responsible for activity under your account. Tell us at contact@expeditus.app straight away if you suspect unauthorized access.
- Your access is limited to what your role permits. The Customer that invited you controls your role and may change or end your access.
04Acceptable use
You agree not to:
- use the Service in violation of any law, including HIPAA and other privacy, health-information and workers' compensation laws;
- access or attempt to access records, accounts or data you are not authorized to see, or attempt to get around role-based permissions or other access controls;
- upload or submit information you do not have the right to share, or health information without the authorizations and notices the law requires;
- probe, scan or test the vulnerability of the Service, or breach its security or authentication measures, without our written permission;
- interfere with or disrupt the Service, including by sending malware or excessive automated requests;
- scrape, copy, reverse engineer, decompile or create derivative works of the Service, except as the law expressly permits;
- use the Service or its outputs to build a competing product;
- submit false or misleading information, including through the demo request form; or
- resell, sublicense or provide the Service to anyone other than as allowed by a Customer Agreement.
05Customer data and the BAA
- Ownership. As between the Customer and us, the Customer owns the data it and its users put into the Platform (“Customer Data”).
- Our use. The Customer grants us the rights we need to host, process and transmit Customer Data to provide, secure and support the Service, as set out in the Customer Agreement. We do not sell Customer Data or use it to train AI models.
- Protected health information. We process protected health information only as the Customer's business associate, under the BAA. The BAA governs our use, disclosure and safeguarding of that information, and our obligations to report incidents and to return or destroy it at the end of the relationship.
- Customer responsibilities. The Customer is responsible for the lawfulness of the Customer Data it provides, for obtaining any consents and authorizations required, and for the decisions it and its users make using the Service.
06AI features
The Platform uses AI models, provided by Anthropic, to summarize information and to draft recommendations such as records requests, escalations and return-to-work plans (“AI Output”).
- AI Output requires human review. It can be incomplete or wrong. A qualified person must review AI Output before it is relied on or acted on. The Platform routes consequential actions to a person for approval, and never automates clinical, utilization-review, authorization, legal or settlement decisions.
- Not professional advice. AI Output and other content in the Service are not medical advice, legal advice or a determination of any claim, benefit or entitlement. They do not replace the judgment of licensed clinicians, claims professionals or attorneys.
- Your decisions. The Customer and its users remain responsible for every decision made using the Service, including whether to approve an AI-prepared action.
07Third-party services
The Service relies on third-party providers — for example, for hosting, email and text-message delivery, AI models and public provider directories — and may link to or integrate with systems a Customer chooses to connect. We are not responsible for third-party services we do not control, and your use of them may be subject to their own terms.
08Availability and changes to the Service
We work to keep the Service available and reliable, but it may be interrupted for maintenance, updates or reasons outside our control. Unless a Customer Agreement provides a service-level commitment, we do not guarantee that the Service will be uninterrupted or error-free.
We may change, add or remove features from time to time. If we remove a feature a Customer relies on, we will handle it as the Customer Agreement provides. Fees for the Platform, if any, are set out in the Customer Agreement.
09Intellectual property
The Service — including its software, design, text, graphics, workflows, benchmark catalogue and the ExpeditUsPro name and logo — is owned by ExpeditUsPro or its licensors and is protected by intellectual-property laws. Subject to these Terms and any Customer Agreement, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Service for your or your organization's internal business purposes. We reserve all other rights.
If you send us suggestions or feedback, we may use them without restriction or obligation to you.
10Confidentiality
Non-public information about the Service that you receive — including product features, pricing, roadmaps, security measures and demonstration materials — is our confidential information. Use it only to evaluate or use the Service, and do not disclose it except to people in your organization who need to know it and are bound to keep it confidential. We protect Customer Data as described in the Customer Agreement and the BAA.
11Disclaimers
Except as expressly stated in a Customer Agreement, the Service and all AI Output are provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement and accuracy, and any warranty that the Service will be uninterrupted, secure or error-free.
12Limitation of liability
To the fullest extent permitted by law, ExpeditUsPro and its members, managers, employees and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, data or goodwill, arising out of or relating to the Service or these Terms, even if advised of the possibility of such damages.
Our total liability for all claims arising out of or relating to the Service or these Terms will not exceed the greater of the amounts you paid us for the Service in the twelve months before the event giving rise to the claim, or one hundred US dollars (US$100).
Some jurisdictions do not allow certain of these exclusions or limits, so they may not fully apply to you. Where a Customer Agreement sets different limits, those limits apply to the Customer instead.
13Indemnity
To the extent permitted by law, you will defend, indemnify and hold harmless ExpeditUsPro and its members, managers and employees from claims, losses and expenses (including reasonable attorneys' fees) arising out of your violation of these Terms or of law, your misuse of the Service, or information you submit to the Service without the right to do so. Indemnities between a Customer and us are governed by the Customer Agreement.
14Suspension and termination
You may stop using the Service at any time. We may suspend or end your access, with notice where practical, if you breach these Terms, if your use poses a security or legal risk, or if the Customer that invited you ends your access or its Customer Agreement ends. On termination, your right to use the Service ends. Customer Data is then returned or destroyed as the Customer Agreement and BAA require. Sections that by their nature should survive termination — including intellectual property, confidentiality, disclaimers, limitation of liability, indemnity and governing law — will survive.
15Governing law
These Terms are governed by the laws of the Commonwealth of Kentucky, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Kentucky, and you and we consent to their jurisdiction. A Customer Agreement may provide otherwise for the Customer.
16Changes to these terms
We may update these Terms from time to time. We will post the new version here and change the “Last updated” date at the top, and we will give notice of material changes on the Site or by email to Customers before they take effect. Continuing to use the Service after changes take effect means you accept them.
17General
These Terms, together with our Privacy Policy and any Customer Agreement and BAA that applies to you, are the entire agreement between you and us about the Service. If any provision is found unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets. Neither party is liable for delays caused by events beyond its reasonable control.
